Acceptance of Terms

By accessing or using the services provided by Nimbus Cloud LLC ("Company," "we," "our," or "us"), including our website, platform, and document intelligence services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

Description of Services

Nimbus Cloud LLC is a document and data intelligence platform. Our services include:

Cirrus (Document Processing): Processes your uploaded documents and extracts entity information from your transactional environment.
Stratus (Entity Screening): Screens identified entities against government watchlists, court records, business filings, and public records databases.
Lightning (Continuous Monitoring): Monitors data sources for changes and re-screens entities when new information becomes available.
Soundings (Intelligence Reports): Documented, timestamped assessments of your transactional environment.
Horizon (Client Portal): Secure access to upload documents, track analysis status, and download reports.

Platform Access

For customers using our Horizon portal:

Account credentials are issued per organization and are non-transferable.
You are responsible for securing your login credentials and all activity under your account.
All document uploads and analysis queries are logged for audit purposes and retained for a minimum of five (5) years.
You may not resell platform access or data without written permission.

User Responsibilities

You agree to:

Provide accurate and complete information when using our services
Use our services only for lawful purposes
Not attempt to circumvent security measures or access controls
Not use automated systems to abuse or overload our services
Comply with all applicable laws and regulations

Data Sources and Accuracy

Our entity screening pulls data from multiple government and public record sources, including OFAC sanctions lists, federal and state court records, business filings, and other publicly available databases. While we strive for accuracy and timely updates, we cannot guarantee that our data is error-free or complete at all times.

Important: Our intelligence services are tools to provide visibility into your transactional environment. They do not replace professional legal advice, and you remain responsible for your own business decisions based on the information we provide.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIMBUS CLOUD LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

Our total liability for any claim arising from these terms or your use of our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Legal, Tax, or Financial Advice

Nothing in our services constitutes legal, tax, or financial advice. Our intelligence services are informational in nature. We recommend consulting with licensed attorneys, CPAs, and financial advisors for advice specific to your situation.

Termination

We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will immediately cease.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.
